| NYMEX/COMEX Transaction (Update) |

| As previously announced (see Notice 516), there will be a COMEX member forum for owners of COMEX Division Memberships on Monday, October 9, 2006 at 1:45 PM to discuss the proposed agreement between COMEX and NYMEX. The forum will be held on the 10th floor of NYMEX, One North End Avenue, New York City. For those of you who cannot participate in person, you may obtain the dial-in information to the forum by calling the Membership Department at (212) 299-2377.
In preparation for the forum, we attach a summary of the Transaction Agreement and proposed amended COMEX bylaws (available here). You may also find complete copies of the Transaction Agreement and all of its exhibits (including the proposed amended COMEX bylaws) by selecting the September 26 file date on the following link: http://www.sec.gov, or by looking on the SEC website at www.sec.gov. We encourage you to review these materials in advance of the meeting. If you are unable to attend the forum in person or by phone, be aware that you will receive in advance of the COMEX member vote an S-1 Registration Statement and COMEX member proxy statement which together will describe the definitive terms of the agreement and other important information. After distribution of these materials, and prior to the COMEX member vote, NYMEX and the COMEX Governors Committee will convene an additional COMEX member forum to discuss the COMEX transaction and answer your questions. |
