| Recommendations for Open Positions on the Board of Directors of NYMEX Holdings, Inc. |
|---|
| At its meeting held on July 6, 2005, the NYMEX Holdings, Inc. Board of Directors resolved to fill by appointment of the Board the two vacant Board of Directors positions. These vacant positions are in the Equity Holder and Public Director categories.
The Board has determined to appoint persons based upon recommendations from existing stockholders or members of the Board of Directors. Only persons who are recommended by the deadline set forth below will be eligible for appointment. The Office of the Corporate Secretary will accept written recommendations until Friday, July 22, 2005 at 5:00 PM EST. A stockholder or Board member may not recommend more than one candidate per category: Equity Holder and Public. Please note that in order to qualify as a Public Director, a person must be knowledgeable of futures trading or financial regulation or otherwise capable of contributing to the deliberations of the Board of Directors and may not be a member of the Exchange or affiliated with any member of the Exchange or be an employee of the Exchange. In addition, a Public Director must satisfy the relevant Independent Director standards resulting from the Sarbanes-Oxley Act of 2002 and subsequent rules and regulations of the Securities and Exchange Commission. These independence standards seek to ensure that the Directors who are designated as "independent" are indeed independent from, and not beholden to, management. For example, any Director who directly or indirectly receives from the Exchange any consulting, advisory, or other compensatory fees (other than Director and committee fees), or who otherwise has a material relationship with the Exchange or its independent accountants, cannot be considered "independent" and cannot qualify as a Public Director. The Board of Directors has final authority to determine whether a particular Director or Director-nominee qualifies as a Public Director. A subcommittee of the Membership Committee will review the qualifications of each nominee to confirm their eligibility and desire to serve on the Board. The Board will then appoint one candidate to each category, who, according to the NYMEX Holdings, Inc. bylaws, shall serve until the next Annual Meeting. Please submit your written recommendations to: NYMEX Holdings, Inc. One North End Avenue Room 1548 New York, NY 10282 NOT LATER THAN 5:00 P.M. ON FRIDAY, JULY 22, 2005 |
