CBOT Holdings and CME Holdings File Preliminary Joint Proxy and Registration Statement on Form S-4 for Proposed Merger

CHICAGO, December 21, 2006 – CBOT Holdings, Inc. (NYSE: BOT) today announced that Chicago Mercantile Exchange Holdings Inc. (CME) and CBOT Holdings, Inc. (CBOT) have filed a preliminary joint proxy and registration statement on Form S-4 with the U.S. Securities and Exchange Commission (SEC) relating to the proposed merger of the two companies. CBOT and CME expect to provide the final joint proxy and registration statement to CBOT shareholders and members and to CME shareholders and hold their respective special meetings to approve the proposed merger and related issues after the beginning of 2007.  

The S-4 is a registration statement for CME with respect to the shares of Class A common stock that it will issue to CBOT shareholders in the proposed merger.  The filing also is a proxy statement for the shareholders of CME and CBOT, and the members of Board of Trade of the City of Chicago, Inc. for their respective special meetings to approve the proposed merger and other related issues.

Today’s filing represents a major milestone for CBOT and CME toward successfully completing the proposed transaction.
