FIX/FAST Decoder Agreement

This software, including the associated source code and documentation ("Software"), is protected by U.S. and International copyright law and treaties. The Chicago Mercantile Exchange, Inc. ("CME") is providing the Software under the following license (the "License"). By obtaining, downloading, and/or using the Software, you ("Licensee") acknowledge that you have read, understood, and agree to comply with the following terms and conditions:

CME grants Licensee a non-exclusive, non-transferable, and non-sublicensable right to use the Software for any purpose, and to make machine-readable copies of the Software for backup or archival purposes, without fee or royalty, provided that Licensee:

is presently an authorized user of CME Globex, and has previously entered into, and is bound by both the CME Connection Agreement and the CME Interface Developer's Agreement;
agrees NOT to copy, transmit, distribute, disseminate, publish or make available the Software to third parties, without express written permission; and
agrees to include the full text of this NOTICE in a location viewable to users of the Software on ALL copies of the Software and associated documentation or portions thereof.

The License is effective until terminated and will automatically terminate if Licensee fails to comply with or meet any term or condition of this Agreement. Licensee may terminate the License at any time. Upon termination, Licensee agrees to destroy the Software together with all backup copies, printed or written materials, and merged portions in any form, or return same to CME.

THIS SOFTWARE AND DOCUMENTATION IS PROVIDED "AS IS." CME MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR THAT THE USE OF THE SOFTWARE WILL NOT INFRINGE ANY THIRD PARTY PATENTS, COPYRIGHTS, TRADEMARKS OR OTHER RIGHTS.

CME WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF ANY USE OF THE SOFTWARE.

The name and trademarks of CME are not permitted to be used, without express written prior permission. Title to copyright in this Software and any associated documentation will at all times remain with CME. All rights not expressly granted are hereby reserved by CME.

If you do not agree with the above terms and conditions, or if the terms and conditions do not apply to you, you are not entitled or permitted to obtain, access, download, use, copy, distribute, transmit, transfer, disseminate, access, publish or make available the Software to third parties, or to modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software, without prior written consent of CME.
